Terms of Use
These Terms set out the rules for using Ultramentum and buying a plan. They include your rights: the 14-day refund, cancellation at any time, and the protection of the Lifetime plan.
The essentials
A plain-language overview. It does not replace the Terms below, which prevail.
- An analysis tool, not advice. Ultramentum shows market data. It never tells you what to buy or sell, and every decision is yours.
- Free demo. 7 days of the full version, no card required. Nothing is charged automatically when it ends.
- Annual plan. Renews once a year. We email you before renewal, and you can cancel in a few clicks at any time. Your price stays locked for as long as your subscription stays active.
- Lifetime plan. One payment, 50 seats. If we ever shut the Service down within 5 years of your purchase, you get a pro‑rata refund.
- 14‑day refund. A full refund on both plans, with no justification needed.
- One account, one person. Use it on as many computers as you like, one session at a time.
- Licensed data. Market data comes from licensed providers, for your personal use only. You may not extract it, resell it or redistribute it.
01About these Terms
These Terms of Use (the “Terms”) govern your access to and use of the Ultramentum website, web application and related services (together, the “Service”), and every purchase of a plan.
The Service is operated by Saïd [LAST NAME] EI, a sole trader (entrepreneur individuel, micro-entreprise) registered in France under SIREN [SIREN], whose business address is [BUSINESS ADDRESS]. In these Terms, it is referred to as “Ultramentum”, “we”, “us” or “our”. Full details are in the Legal Notice.
These Terms form a binding contract between you and us. Please read them carefully. The Privacy Policy explains how we handle your personal data. It is a separate document, and it is not part of this contract.
Definitions
- Account
- The personal account you create to use the Service.
- Consumer
- An individual acting for purposes outside their trade, business, craft or profession.
- Business Customer
- Any person acting for professional purposes, including a company that buys a plan for its own use.
- Plan
- The Annual plan or the Lifetime plan, as described in sections 8 and 9.
- Market Data
- Prices, volumes and any other market information displayed in the Service, whether raw or processed.
- Content
- Everything made available through the Service other than Market Data, including visualizations, indicators, setups, calibrations, texts, tutorials, videos, software and design.
02Acceptance and eligibility
You accept these Terms when you tick the acceptance box while creating your Account, and again when you place an order. If you do not accept them, do not use the Service.
To use the Service, you must:
- be at least 18 years old and have full legal capacity to enter into a contract;
- provide accurate, complete and up-to-date information;
- not have had an Account terminated by us for a breach of these Terms, unless we have agreed otherwise in writing.
If you accept these Terms on behalf of a company or other organization, you confirm that you are authorized to bind it. In that case, “you” refers to that organization as well.
03The Service
Ultramentum is a market analysis and visualization tool. It renders market data in three dimensions, applies signal-processing methods to it, and presents one complete, pre-calibrated setup per asset. Each asset runs on one fixed timeframe. The Service has no intraday timeframes and is designed for investing, not for short-term trading. A replay mode lets you step through past market data bar by bar.
The Service runs in a web browser on desktop and laptop computers (macOS and Windows). It uses 3D rendering and needs a reasonably recent computer and an up-to-date browser. The Service is not designed for phones or tablets. We cannot guarantee that it works on every device, browser or configuration. The free demo lets you check compatibility before you pay anything.
The list of covered markets and assets is published on the website. It can change over time. We add assets once they meet our data-quality and calibration requirements, and we may withdraw an asset when a data provider stops supplying it, when it is delisted, or when its data no longer meets those requirements. Subscribers may request new assets, but we do not commit to adding them or to any timeline.
We continuously improve the Service. Features, visual presentation, indicators and calibrations may change. Some features may be released as previews or betas. We identify them as such, and they are provided without any commitment to their continued availability.
04No investment advice — risk warning
Ultramentum is an analysis tool. It does not provide investment advice, personal recommendations or portfolio management, and it does not execute transactions.
- Nothing in the Service, on the website, in our tutorials, emails, videos or social media, or from our support or AI assistant, is a recommendation to buy, sell or hold any financial instrument or crypto-asset, or an offer or solicitation to do so.
- The Service is identical for all users and does not take your personal situation, objectives, knowledge, experience or financial capacity into account. Ultramentum is not a registered investment adviser (conseiller en investissements financiers), an investment firm or a crypto-asset service provider.
- Visual states, colors, shapes and indicator readings describe what the data shows. They are not instructions and do not predict future prices.
- Past market behavior, including what you observe in replay mode, is not a reliable indicator of future results. We do not publish performance figures and we make no promise of gains.
- Investing involves risk, including the loss of all capital invested. Crypto-assets are highly volatile and may be subject to limited or no regulatory protection.
- You alone are responsible for your investment decisions and their consequences. Before investing, consider your own situation and, where appropriate, consult a licensed professional.
05Your Account
You need an Account to use the Service, including the free demo. When you create it, you confirm your email address. You must keep your information up to date from your Account settings.
- Personal use. An Account belongs to one individual and may not be shared, lent, sold or transferred. A Business Customer needs one plan for each individual user.
- Devices and sessions. You may use your Account on as many computers as you like, but only one session can be active at a time. Opening the Service on another device ends the previous session.
- Security. Keep your password confidential and do not reuse it on other services. Activity carried out through your Account is presumed to be yours. Notify us immediately at support@ultramentum.com if you suspect unauthorized use.
- Verification. We may take reasonable steps to detect Account sharing or abuse, for example by monitoring concurrent sessions, and we may ask you to confirm your identity.
06Free demo and free access
Free demo. A new Account gets 7 days of free access to the full version of the Service, replay mode included. No payment method is required. When the 7 days are over, full access ends automatically. No plan starts and nothing is charged unless you choose to subscribe. The free demo is limited to one per person. Creating several Accounts to obtain several demos is not allowed.
Free access after the demo. After the demo, your Account stays open and keeps free access to one asset chosen by us, along with tutorials and product updates if you opted in. This free access is a courtesy with no commitment on our part. We may change the asset, the features included or the terms of free access, or end it, with at least 30 days' notice by email.
07Plans, prices and payment
7.1 Plans
Two paid plans give access to the full version of the Service: the Annual plan (section 8) and the Lifetime plan (section 9). Both include every tool and every covered asset. The features included in each plan are described on the pricing page at the time of your order.
7.2 Prices
Prices are shown in US dollars on the pricing page and at checkout. The price you pay is the one displayed when you confirm your order. Any applicable taxes are shown before you pay. We may change our prices at any time for future orders. For the Annual plan, the price-lock rule in section 8.3 applies.
7.3 Placing an order
To order, you choose a plan, review the summary of your order (plan, price, taxes and renewal terms where applicable), enter your payment details and confirm by clicking the payment button, which states that the order involves an obligation to pay. The contract is formed when your payment is authorized. We then send you a confirmation email with the details of your order and a copy of these Terms. Keep it for your records.
7.4 Payment
Payments are processed by our payment service provider, Stripe, on its own secure page. We never see or store your full card number. By paying, you also accept the terms of use of the payment provider that apply to you. The Annual plan is charged in advance for each yearly period. The Lifetime plan is charged in a single payment.
7.5 Invoices
An invoice is issued for each payment and made available by email or from your Account. Business Customers can enter their company name, address and VAT number at checkout, and the invoice is issued accordingly.
7.6 Failed payments
If a renewal payment fails, we notify you by email and try again over the following days. If payment has still not succeeded 14 days after the renewal date, access to paid features is suspended until payment is made. Your Account and settings are kept.
08Annual plan
8.1 Term and renewal
The Annual plan runs for one year from the date of payment. It then renews automatically for successive one-year periods unless you cancel before the renewal date. Each renewal is charged to the payment method on file.
8.2 Renewal reminder
We send you an email reminder no earlier than three months and no later than one month before each renewal date. It states the renewal date and the amount that will be charged, and explains how to cancel. If you are a Consumer and we fail to send this reminder, you may terminate your plan at any time after the renewal and receive a refund of the unused portion of the period, calculated pro rata, in accordance with Article L.215‑1 of the French Consumer Code.
8.3 Price lock
The price of your Annual plan stays the same at each renewal for as long as your subscription remains active without interruption. If our prices rise, the increase applies only to new subscriptions. The price lock ends if your subscription lapses, is cancelled and runs out, or is terminated. If you subscribe again later, the price in force at that time applies.
8.4 Cancellation
You can cancel at any time in a few clicks from your Account settings. Cancelling stops the next renewal. You keep full access until the end of the period already paid for. Apart from the 14-day refund in section 10 and the case in section 8.2, the current period is not refunded.
09Lifetime plan
9.1 What it includes
The Lifetime plan gives you, for a single payment, access to the full version of the Service for as long as we operate the Service. It includes all future updates, all assets and markets added to the Service, and the desktop application if and when it is released.
9.2 Limited seats
The Lifetime plan is limited to 50 seats. Once they have been sold, the offer closes. We may offer a lifetime plan again in the future, on different terms and at a different price. A seat released through a refund may be offered again.
9.3 Personal and non-transferable
A Lifetime plan is attached to one Account and one individual. It cannot be transferred, resold or shared. It does not end on a change of email address or payment method.
9.4 Discontinuation guarantee
“Lifetime” means the operating life of the Service, not the lifetime of the user. If we decide to discontinue the Service permanently:
- we notify you by email at least 90 days in advance, and you keep full access during that period;
- if the Service ends within 5 years of your Lifetime purchase, we refund part of the price you paid, pro rata to the full months remaining in that 5-year period. The refund equals the price paid × (number of full months remaining ÷ 60).
Example: you paid $1,190 and the Service ends 24 months after your purchase. 36 months remain out of 60, so you receive $1,190 × 36 ÷ 60 = $714.
This guarantee does not apply if we terminate your Account for a serious breach of these Terms (section 16.2). A transfer of the Service to another operator under section 21 does not count as a discontinuation: your Lifetime plan continues with the new operator.
1014-day refund and right of withdrawal
10.1 Our 14-day refund
You can request a full refund within 14 days of any payment for an Annual plan (initial purchase or renewal) or a Lifetime plan, without having to give a reason and whatever use you have made of the Service. This refund applies to Consumers and Business Customers alike. It goes further than the legal right of withdrawal described below, because nothing is deducted for the period during which you used the Service.
10.2 Legal right of withdrawal (Consumers)
If you are a Consumer, you also have a statutory right to withdraw from the contract within 14 days of its conclusion, without giving any reason (Articles L.221‑18 and following of the French Consumer Code). When you order, you ask for the Service to start immediately. Because we refund you in full anyway, exercising your right of withdrawal costs you nothing.
10.3 How to request a refund or withdraw
- use the “Cancel and refund” function in your Account settings; or
- send a clear statement of your decision to support@ultramentum.com from the email address of your Account. You may use the model form in the Annex, but you do not have to.
To meet the deadline, it is enough to send your request before the 14-day period ends. We acknowledge it by email without delay.
10.4 Effects
We refund all payments received for the plan concerned no later than 14 days after receiving your request, using the same means of payment as for the original transaction, at no cost to you. Access to paid features ends when the refund is issued. Your Account stays open with the free access described in section 6.
To prevent abuse, the 14-day refund in section 10.1 is available once per plan type and per person. This limit never affects your statutory right of withdrawal.
11Acceptable use
You agree to use the Service lawfully, fairly and only for your own analysis. In particular, you must not:
- copy, extract, scrape, download in bulk, record systematically or store Market Data or Content, by any means, including bots, scripts, crawlers, browser extensions or automated screenshots;
- redistribute, resell, sublicense, publish or make available Market Data or Content to third parties, or use it to feed another product, database, signal service, trading system or alert service;
- use the Service, its outputs or its Market Data to develop, train, test or improve a competing product, a machine-learning model or an artificial-intelligence system;
- share your Account or credentials, or allow several people to use one Account;
- reverse engineer, decompile, disassemble or attempt to extract the source code, algorithms, calibrations or parameters of the Service, except to the extent that mandatory law expressly permits it;
- circumvent or attempt to circumvent any technical measure, usage limit, session limit or access control;
- interfere with the security, integrity or performance of the Service, probe it for vulnerabilities without our written authorization, or introduce malicious code;
- present the Service or its outputs as investment advice, or use them to offer paid signals, advisory or management services to third parties;
- use the Service in breach of any applicable law, including market-abuse and financial-promotion rules;
- misrepresent your identity, or create Accounts to obtain several free demos or to evade a suspension.
Screenshots and sharing
You may share occasional screenshots or short screen recordings of the Service for non-commercial purposes, such as commentary, education or discussion on social media, provided that you credit Ultramentum, do not present them as investment advice, and do not use them to reproduce Market Data systematically. Commercial use, including in paid content or advertising, requires our prior written permission. Creators can apply to our partner program.
12Market Data and third-party content
- Sources. Market Data is supplied by third-party data providers and exchanges under licence. Their terms may require us to restrict or change how Market Data is displayed, or to stop displaying certain Market Data. Such changes are not a breach of these Terms.
- Personal, non-professional use. Market Data is licensed to you for your own personal use only. If you use the Service on behalf of a firm, or in a professional capacity in the financial markets, additional data terms or fees may apply. Contact us before doing so.
- Accuracy and timeliness. We select reputable providers and process their data with care. However, Market Data may be delayed, incomplete, adjusted or occasionally wrong, and it is not guaranteed to be real time. The Service works on fixed timeframes of one day or longer, and it is not designed for time-critical decisions.
- Third-party services. The Service may contain links to, or rely on, third-party websites and services, such as the payment provider and charting libraries. We are not responsible for their content or practices.
13AI assistant
The website and the Service may include an automated assistant powered by artificial intelligence to answer questions about the product. When you talk to it, you are talking to an AI, not a human. Its answers are generated automatically. They can be incomplete or wrong, and they do not bind us. Where they conflict with these Terms, these Terms prevail. The assistant does not give investment advice, and nothing it says should be read as such. Do not share sensitive personal information, passwords or payment details with it. Its use is limited to reasonable volumes. How your messages are processed is explained in the Privacy Policy.
14Intellectual property
The Service and all Content, including the software, 3D visualizations, indicators, signal-processing methods, calibrations, setups, design, texts, videos, logos and the Ultramentum name and brand, are protected by intellectual property laws. They belong to us or our licensors. Market Data belongs to its respective providers.
Subject to these Terms and, for paid features, to payment of your plan, we grant you a personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Service for your own analysis, for the duration of your access. No other right is granted. Anything not expressly permitted is prohibited.
If you send us suggestions or feedback, including asset requests, you allow us to use them freely and without compensation to improve the Service.
15Availability and changes to the Service
We make reasonable efforts to keep the Service available and running smoothly, but we do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable for maintenance, updates, security reasons, or failures of our hosting, data or network providers. Whenever possible, we announce planned maintenance in advance and schedule it to limit disruption.
We may change the Service to improve it, to follow technical, legal or data-provider requirements, or for security reasons. If a change significantly reduces the main features of your paid plan to your detriment, we inform you at least 30 days in advance. You may then terminate your plan and receive a pro-rata refund of the unused period. For a Lifetime plan, the refund is calculated as in section 9.4.
16Suspension and termination
16.1 By you
You may stop using the Service and delete your Account at any time from your Account settings, or by writing to us. Deleting your Account ends any plan attached to it. Paid periods are not refunded, except as provided in sections 8.2, 9.4, 10 and 15.
16.2 By us
If you breach these Terms, we may send you formal notice to remedy the breach within 15 days. If the breach continues after that period, we may terminate your Account. For a serious breach, we may suspend your Account immediately and then terminate it, informing you of the reasons by email. Serious breaches include account sharing, extraction or redistribution of Market Data, fraud, payment chargebacks made in bad faith, attacks on the Service, and use that exposes us to legal claims. In these cases, no refund is due, without prejudice to any damages.
16.3 Effects
When your Account ends, your right to use the Service ends. Your personal data is then handled as described in the Privacy Policy. Sections 4, 11, 14, 17, 23 and 24 survive termination.
17Liability
17.1 Our commitment
We are responsible for providing the Service in accordance with these Terms and with applicable law.
17.2 What we are not responsible for
As the Service does not provide investment advice (section 4), we are not responsible for your investment or trading decisions, or for any gains or losses resulting from them. We are also not liable for damage caused by:
- your breach of these Terms or misuse of the Service;
- your equipment, browser, internet connection, or failure to meet the technical requirements;
- a third party unconnected with the Service;
- an event of force majeure (section 22).
17.3 Consumers
If you are a Consumer, nothing in these Terms excludes or limits our liability where the law does not allow it, in particular for death or personal injury, for gross negligence or wilful misconduct, or under the mandatory consumer protection rules that apply to you.
17.4 Business Customers
If you are a Business Customer, and to the extent permitted by law, we are only liable for direct and foreseeable damage. In any case, our total liability for all claims relating to the Service is limited to the amounts you paid us in the 12 months before the event that gave rise to the claim. This limitation does not apply to gross negligence, wilful misconduct, or death or personal injury.
18Legal guarantee of conformity
If you are a Consumer, the Service is covered by the legal guarantee of conformity for digital content and digital services (Articles L.224‑25‑12 and following of the French Consumer Code). For a service supplied continuously, it covers any lack of conformity that appears during the supply period. If there is a lack of conformity, you are entitled to have the Service brought into conformity. If that is not possible, or not done within a reasonable time, you are entitled to a price reduction or to terminate the contract, as provided by law. To use this guarantee, contact support@ultramentum.com. These rights apply independently of the 14-day refund.
19Personal data
We process your personal data as described in the Privacy Policy, in accordance with the EU General Data Protection Regulation (GDPR) and the French Data Protection Act.
20Changes to these Terms
We may update these Terms, for example to reflect changes to the Service, to our plans or to the law. The date of the latest version appears at the top of this page. If you have a paid plan and we make a material change, we notify you by email at least 30 days before it takes effect. If you do not accept the new Terms, you may terminate your plan before they take effect and receive a pro-rata refund of the unused period (for a Lifetime plan, calculated as in section 9.4). Changes never reduce what your Lifetime plan includes under section 9.1, or the price lock of an active Annual plan. Orders are always governed by the version of the Terms accepted at the time of the order, until any new version takes effect as described above.
21Transfer of the contract
We may transfer this contract, including all plans in progress, to another entity that takes over the operation of the Service, such as a company set up to run Ultramentum, in France or abroad. We notify you by email beforehand. The transfer does not reduce your rights under these Terms, including your price lock, your Lifetime plan and the guarantee in section 9.4. If the transfer involves a transfer of your personal data, the Privacy Policy explains how it is handled. You may not transfer your rights or obligations under these Terms without our prior written consent.
22Force majeure
Neither party is liable for a failure to perform caused by an event of force majeure within the meaning of Article 1218 of the French Civil Code. This includes large-scale failures of hosting, network or data providers that are beyond our reasonable control. The affected obligations are suspended for as long as the event lasts. If it lasts more than 60 days, either party may terminate the contract by email. In that case, you receive a pro-rata refund of the unused period of your plan (for a Lifetime plan, calculated as in section 9.4).
23Complaints, mediation and disputes
If you have a complaint, write to support@ultramentum.com. We reply within 24 hours on business days, Monday to Friday, and try to resolve every issue amicably.
Consumer mediation. If you are a Consumer and your written complaint has not been resolved, you may refer the dispute free of charge to our consumer mediator, [MEDIATOR NAME], [MEDIATOR ADDRESS AND WEBSITE], within one year of your written complaint to us (Articles L.612‑1 and following of the French Consumer Code). Mediation is optional. You remain free to go to court.
Courts. If you are a Consumer, you may bring proceedings before the competent court of your place of residence or any other court with jurisdiction under applicable law. If you are a Business Customer, any dispute that is not resolved amicably falls under the exclusive jurisdiction of the courts of Paris, France.
24Governing law
These Terms are governed by French law. If you are a Consumer residing in another country, you also keep the protection of the mandatory provisions of the law of your country of residence.
25General provisions
- Entire agreement. These Terms, together with the details of your order, form the entire agreement between you and us regarding the Service.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions continue in full force.
- No waiver. If we do not enforce a provision at a given time, that does not waive our right to enforce it later.
- Notices. We communicate with you by email, at the address of your Account, and through the Service. You can reach us at the addresses below.
- Language. These Terms are written in English.
- Proof. The records kept in our systems and those of our payment provider are evidence of communications, orders and payments between you and us, unless proven otherwise.
